Terms of Service Agreement

 

1. Introduction

Welcome to Credex Solutions (“Company,” “we,” “us,” or “our”). By accessing our website, utilizing our proprietary AI systems, or engaging our professional services, you agree to be bound by these Terms of Service (“Agreement”). This Agreement governs the relationship between Credex Solutions and the Client regarding our three core service pillars: The Hybrid AI Engine, Personal & Business Branding, and Custom Technology Development.

 

2. Description of Core Services

I. The Hybrid AI Engine: A proprietary, end-to-end automated lead-generation and appointment-setting infrastructure utilizing multi-channel advertising, private cloud workflow automation, and AI-driven communication protocols.

 

II. Personal & Business Branding: Specialized marketing services including social media management, strategic webinar architecture, digital portfolio development, and professional lead nurturing/concierge services.

 

III. Custom Technology Development: Bespoke software engineering and systems architecture, including but not limited to, custom web platforms, mobile applications, bespoke CRM/ERP builds, and high-level enterprise automations.

 

3. Third-Party Integrations & Infrastructure

To provide high-performance automation and intelligence, Credex Solutions utilizes a stack of secure, enterprise-grade third-party API partners and infrastructure providers.

 

Service Delivery: The Client acknowledges that our “Hybrid” model relies on these secure integrations to function.

 

Provider Neutrality: Credex Solutions reserves the right to switch or upgrade infrastructure providers at our discretion to ensure optimal system performance without prior notice to the Client.

 

4. Acceptable Use Policy (AUP)

To maintain the integrity of our AI systems and ensure compliance with global communication standards, the Client agrees to the following:

 

Anti-Spam Compliance: You shall not use the Hybrid AI Engine to send unsolicited bulk messages (Spam). All outreach must comply with the Singapore Spam Control Act and the Personal Data Protection Act (PDPA).

 

Prohibited Content: You may not use our AI or Technology Development services to create, upload, or distribute content that is:

 

Unlawful, defamatory, or harassing.

 

Infringing on the intellectual property of any third party.

 

Deceptive (e.g., “Phishing”) or containing malicious code.

 

Service Integrity: You shall not attempt to reverse-engineer, “jailbreak,” or bypass the security protocols of the Credex Solutions AI logic or its third-party API partners.

 

Suspension of Service: Credex Solutions reserves the right to immediately suspend or terminate any account found in violation of this AUP without notice or refund.

 

5. Purchase and Acknowledgment of Service Bundles

By engaging Credex Solutions, the Client acknowledges they are purchasing an integrated suite of services with real, immediate business costs.

 

Operational Costs: Fees cover the allocation of technical labor, proprietary logic deployment, and the high-performance data processing credits required to power the Client’s specific instance.

 

Resource Allocation: Engineering and creative resources are reserved specifically for the Client upon signing, precluding other projects from utilizing those resources.

 

6. Refund Policy

Credex Solutions maintains a strict No Refunds Policy. Due to the immediate allocation of resources—including backend server provisioning, third-party data processing costs, and specialized engineering labor—all payments are final. This applies to one-time development milestones, monthly retainers, and platform subscription fees. If a project is terminated mid-cycle, the Client remains liable for all work performed up to the date of termination.

 

7. Intellectual Property (IP) Rights

Proprietary Logic: All workflow blueprints, AI prompt architectures, and custom automation logic developed by Credex Solutions remain the exclusive intellectual property of the Company.

 

Client Assets: Upon full payment, the Client owns the final “frontend” deliverables (e.g., custom websites, apps, and branding assets).

 

Data Ownership: The Client retains 100% ownership of all leads and customer data generated through their specific engine instance.

 

8. Limitation of Liability

Credex Solutions provides a “Hybrid” model where AI assists in high-speed communication. While we strive for 100% system accuracy, the Client acknowledges that AI-driven interactions may occasionally vary. Credex Solutions is not liable for any discrepancies in AI communication, for the final conversion of leads, or for any advice/information provided by the AI to end-leads.

 

9. Data Privacy & PDPA Compliance

As a Singapore-based entity, Credex Solutions complies with the Personal Data Protection Act (PDPA).

 

Data Intermediary: We act as a data intermediary for the Client’s lead data.

 

Consent: The Client warrants that they have the necessary legal consents to contact leads via digital channels as part of the automated workflows.

 

10. Dispute Resolution & Governing Law

This Agreement is governed by the laws of the Republic of Singapore. Any disputes shall be referred to and finally resolved by arbitration at the Singapore International Arbitration Centre (SIAC).
